TERMS AND CONDITIONS OF ARTIST INVOLVEMENT IN THE TIGMUS PLATFORM

In these terms and conditions (“Conditions”) the following words and expressions shall have the following meanings:

Artist: you and your group of associated artists (where applicable);

Customers: customers who buy Tickets from Tigmus;

Customer Payment(s): all payments by a Customer to Tigmus for Tickets;

Event: an event at which the Artist performs and which has been promoted through the Website;

Event Date: the date of each Event, as submitted by the Artist and confirmed by Tigmus;

Event Description: a description of an Event, submitted by the Artist to Tigmus;

Event Holder: means, in respect of each Event, the individual or entity that has declared themselves willing to host the Event, and who is designated as such on the Website by Tigmus;

Fee: 20% of each Ticket sold exclusive of VAT;

Ticket(s): the tickets for an Event;

Tigmus: Tigmus Ltd (registered number: 08924732) whose registered office is at 1st Floor, 2 Woodberry Grove, Finchley, London, N12 0DR.

Website: www.tigmus.com, or such other website as Tigmus shall designate from time to time.

1 Tigmus service

1.1 Tigmus operates a platform, via the Website, which operates to connect Artists with Customers and Event Holders.

1.2 The Artist shall be entitled to submit to Tigmus, via the Website, the Artist’s profile or profiles which will, once accepted by Tigmus, be made available to view on the Website by Customers and Event Holders.

1.3 Where an Artist wishes to perform at an Event, it shall submit the details of the Event in question to Tigmus via the Website, and once accepted by Tigmus, Tigmus shall make the Event available to Customers so that Customers may purchase Tickets.

1.4 Tigmus shall receive all payments from Customers in respect of their purchase of Tickets for an Event. The acceptance of orders for Tickets from Customers shall be at the entire discretion of Tigmus.

2 Artist obligations

2.1 In submitting an application to perform at an Event (including an Event Description) the Artist agrees to be bound by these Conditions.

2.2 The Artist agrees that Tigmus shall be entitled to display details of the Artist and the Event on the Website and elicit sales of Tickets for the Event from Customers. For these purposes, the Artist grants Tigmus a non-exclusive, royalty-free licence to use the Artist’s name, likeness and any images submitted to Tigmus by the Artist for the sole purpose of promoting the Event to Customers.

2.3 The Artist agrees that it shall be responsible for the performance of the Event itself and, subject to these Conditions, shall perform the Event to the best of its abilities, in accordance with the Event Description and using all reasonable skill and care.

2.4 The Artist acknowledges that: (i) these Conditions do not create a contractual relationship between the Artist and the Event Holder; (ii) Tigmus’ role is limited to that of introducing the Artist to the Event Holder in respect of a particular Event; and (iii) Tigmus is not responsible for any arrangement between the Artist and the Event Holder and that such arrangements are entirely at the discretion of the Artist and Event Holder in their own capacity. Tigmus recommends that the Artist seeks independent advice in connection with its relationship with an Event Holder and that the Artist formalises, where possible, such relationship in writing.

2.5 The Artist acknowledges that each Event Holder is entitled to charge a fee to host the Event at a particular venue. Such fee is entirely a matter for the Artist and the Event Holder to agree in their separate capacities and the Artist is responsible for paying any such fee in full in accordance with any such agreed terms. For the avoidance of doubt, Tigmus shall not be liable to the Event Holder for the payment of any such fee and the Artist acknowledges that this designation of responsibility reflects the higher percentage of Ticket sales due to the Artist.

2.6 In submitting an application to perform at an Event, the Artist represents and warrants that it has in place sufficient insurance in place to cover its liabilities in performing at the Event, including (but not limited to) policies relating to public and professional liability, and in any event to the level of insurance as would be taken out by a prudent performer at an event similar in scale, type and location as the Event.

3 Contractual relationship

These Conditions shall apply to all contractual arrangements between Tigmus and the Artist in relation to the Artist’s performance at Events, and each and every instance where an Artist commits to perform at an Event shall be deemed to create a separate contractual relationship between Tigmus and the Artist, governed by these Conditions.

4 Payment

4.1 On Completion of the Event, Tigmus shall supply the Artist with a statement showing full details of the number of Tickets sold for the Event and a calculation of the total Fee payable to the Artist. For the purposes of transparency this information will also be sent by Tigmus to the Event Holder. The Artist shall submit an invoice to Tigmus within 14 days of receipt of such statement.

4.2 All sums due to the Artist in respect of the Fee shall be payable to the Artist on the last Friday of the calendar month, to such bank account as the Artist shall designate for these purposes.

4.3 Late payment of any sums due under these Conditions shall attract interest at the rate of 2% above the Bank of England base rate from time to time, accruing from the date that payment fell due to the actual date of payment.

5 Cancellation or amendment of Event

5.1 On submission to Tigmus by the Artist of a statement of its willingness to perform at an Event, the Artist shall not be permitted to withdraw from the Event and shall be bound to perform the Event on the Event Date.

5.2 Any amendments to the Event (including, but not limited to, the Event Date or Event Description) shall be subject to Tigmus’ prior written approval, which shall be given at Tigmus’ absolute discretion.

6 Termination

6.1 Tigmus may terminate this agreement immediately where the Artist:

6.1.1 commits any irremediable or persistent breach of this agreement;

6.1.2 becomes insolvent, or if an individual, is judged to be bankrupt, or in each case in the reasonable opinion of Tigmus is likely to become so;

6.1.3 fails or refuses to perform at an Event; or

6.1.4 commits any act which is reasonably likely to have a detrimental effect on: (i) Tigmus and its reputation; (ii) the Event; (iii) the Event Holder; (iv) the Customers; or (v) other artists generally, or fails to commit any act where the failure to do so is reasonably likely to have a similar effect.

6.2 In the event of termination in accordance with clause 6.1, the Artist shall not be entitled to any payment in accordance with clause 4.

7 Limitation of Liability

7.1 Tigmus shall not be liable to the Artist for any loss of profit, revenue, goodwill, reputation, opportunity or any indirect or consequential loss which in each case arises out of or in connection with: (i) these Conditions; or (ii) any breach or non-performance of these Conditions, in each case no matter how fundamental (including by reason of Tigmus’ negligence).

7.2 Tigmus’ total liability arising under or in connection with these Conditions in contract, tort, or otherwise shall be limited to the amount of the Fee.

7.3 For the avoidance of doubt and notwithstanding any provision to the contrary, nothing in these Conditions shall exclude or restrict Tigmus’ liability for any fraud, any death or personal injury resulting from Tigmus’ negligence or any other mandatory liability which may not be excluded or limited under applicable law.

7.4 The Artist shall indemnify Tigmus, for any claim, loss, expense or damage arising directly or indirectly out of or in connection with the following:

7.4.1 any circumstance in relation to the Artist’s performance at the Event;

7.4.2 any delay, re-scheduling or cancellation of the Event due to an act or omission of the Artist; and

7.4.2 any other circumstances caused by the Artist over which Tigmus had no control of the consequences.

7.5 The Artist acknowledges that the limitations above reflect Tigmus’ role as provider of the Website and the related services contemplated by these Conditions. All questions and concerns that the Artist may have in relation to the staging of the Event should be addressed directly to the Event Holder.

8 Personal data

In submitting an Artist profile to the Website, each Artist expressly consents to Tigmus’ use of any data that such Artist submits to Tigmus from time to time (whether via the Website or otherwise) in connection with Tigmus’ legitimate business interests from time to time. Such use may include, without limit, use of Artist data to contact Artists in respect of future Events that Tigmus reasonably considers may be of interest to an Artist, or where Tigmus passes Artist data to a third party. For completeness, this consent is replicated as an opt-in tick box on the Website which each Artist is required to complete if it wishes to submit an Artist Profile to the Website or perform at an Event.

9 General

9.1 Tigmus shall be entitled to vary these Conditions from time to time on reasonable notice to the Artist.

9.2 No term of these Conditions may be enforced by any third party, whether by reason of the Contracts (Rights of Third Parties) Act 1999, or otherwise.

10 Law

10.1 These Conditions and any contract to which these Conditions apply, are governed by and shall be construed exclusively in accordance with the laws of England.  Non-contractual obligations (if any) arising out of or in connection with these Conditions and any contract to which these Conditions apply (including its/their formation) shall also be governed by the laws of England.

10.2 Tigmus and the Artist submit to the exclusive jurisdiction of the courts of England and Wales as regards any claim, dispute or matter (whether contractual or non-contractual) arising out of or in connection with these Conditions and any contract to which these Conditions apply (including its formation).

TERMS AND CONDITIONS OF EVENT HOLDER INVOLVEMENT IN THE TIGMUS PLATFORM

In these terms and conditions (“Conditions”) the following words and expressions shall have the following meanings:

Artist: a musician or artist who has pledged to perform at a certain venue at a certain date;

Customers: customers who buy Tickets from Tigmus;

Customer Payment(s): all payments by a Customer to Tigmus for Tickets;

Event: an event at which the Artist performs and which has been promoted through the Website;

Event Date: the proposed date of each Event, as submitted by the Artist and confirmed by Tigmus;

Event Description: a description of an Event, submitted by the Artist to Tigmus;

Event Holder: you;

Fee: the fee charged by an Event Holder to an Artist to host an Event at a Venue;

Ticket(s): the tickets for an Event;

Tigmus: Tigmus Ltd (registered number: 08924732) whose registered office is at 1st Floor, 2 Woodberry Grove, Finchley, London, N12 0DR.

Venue: the venue for each Event.

Venue Description: a description of the Venue, including location, capacity, type of venue and any other information stipulated by Tigmus on the Website.

Website: www.tigmus.com, or such other website as Tigmus shall designate from time to time.

1 Tigmus service

1.1 Tigmus operates a platform, via the Website, which operates to connect Event Holders with Artists and Customers.

1.2 An Event Holder shall be entitled to submit to Tigmus, via the Website, a Venue Description or multiple Venue Descriptions for each Venue owned or controlled by the Event Holder. Such Venue Descriptions shall be available for view on the Website by Artists and Customers.

1.3 Where an Event Holder wishes to host an Event at a specific Venue, it shall submit an application to Tigmus via the Website, including the relevant details of the Event that the Event Holder wishes to host and the relevant proposed Venue and, once accepted by Tigmus, Tigmus shall incorporate the Venue into the details for such Event, and make the Event available to Customers so that Customers may purchase Tickets.

1.4 Tigmus shall receive all payments from Customers in respect of their purchase of Tickets for an Event. The acceptance of orders for Tickets from Customers shall be at the entire discretion of Tigmus.

2 Event Holder obligations

2.1 In submitting an application to host an Event to Tigmus the Event Holder agrees to be bound by these Conditions.

2.2 The Venue Holder agrees that Tigmus shall be entitled to display details of the Venue in conjunction with the Event on the Website and elicit sales of Tickets for the Event from Customers. For these purposes, the Event Holder grants Tigmus a non-exclusive, royalty-free licence to use the Event Holder’s name and the details of Venue for the sole purpose of promoting the Event to Customers.

2.3 The Event Holder agrees that it shall be responsible for the hosting of the Event itself and, subject to these Conditions, shall host the Event to the best of its abilities, in accordance with the Event Description and using all reasonable skill and care.

2.4 The Event Holder shall be entitled to impose reasonable industry-standard terms and conditions on Customers in connection with their attendance and behaviour at an Event. Any such terms and conditions shall be submitted to Tigmus at such time as the Event Holder applies to Tigmus to host an Event. A failure by the Event Holder to submit such terms and conditions to Tigmus may mean that the Customers are not bound by such terms and conditions and Tigmus will not accept any liability in connection therewith.

2.5 The Event Holder acknowledges that: (i) these Conditions do not create a contractual relationship between the Artist and the Event Holder; (ii) Tigmus’ role is limited to that of introducing the Artist to the Event Holder in respect of a particular Event; and (iii) Tigmus is not responsible for any arrangement between the Artist and the Event Holder including (but not limited to) (i) where the Artists cancels their performance or fails to perform at an Event; or (ii) in respect of the payment of the Fee, and that all such arrangements are entirely at the discretion of the Artist and Event Holder in their own capacity. Tigmus recommends that the Event Holder seeks independent advice in connection with its relationship with an Artist and that the Event Holder formalises, where possible, such relationship in writing.

2.6 In submitting an application to host an Event, the Event Holder represents and warrants that it has in place sufficient insurance in place to cover its liabilities in hosting the Event, including (but not limited to) policies relating to professional, public and owner’s liability, and in any event to the level of insurance as would be taken out by a prudent host of an event similar in scale, type and location as the Event.

3 Contractual relationship

These Conditions shall apply to all contractual arrangements between Tigmus and the Event Holder in relation to the Event Holder’s hosting of Events, and each and every instance where an Event Holder commits to host an Event shall be deemed to create a separate contractual relationship between Tigmus and the Event Holder, governed by these Conditions.

4 Fees

4.1 The Artist shall be responsible for payment of the Fees to an Event Holder and Tigmus shall have no liability for the payment of Fees to the Event Holder.

4.2 On Completion of the Event, Tigmus shall supply the Event Holder with a statement showing full details of the number of Tickets sold to attend the Event.

5 Cancellation or amendment of Event

5.1 On submission and acceptance of a proposal to host an Event, the Event Holder shall not be permitted to withdraw from hosting the Event and shall be bound to host the Event on the Event Date.

5.2 Any amendments to the Event (including, but not limited to, the Venue, the Event Date or Event Description) shall be subject to Tigmus’ prior written approval, which shall be given at Tigmus’ absolute discretion.

6 Termination

6.1 Tigmus may terminate this agreement immediately where the Event Holder:

6.1.1 commits any irremediable or persistent breach of this agreement;

6.1.2 becomes insolvent, or if an individual, is judged to be bankrupt, or in each case in the reasonable opinion of Tigmus is likely to become so;

6.1.3 fails or refuses to host an Event;

6.1.4 Tigmus considers (in its sole opinion) that the Venue is likely to be incompatible with the Event (having had regard to the Event Description); or

6.1.5 commits any act which is reasonably likely to have a detrimental effect on: (i) Tigmus and its reputation; (ii) the Customers; (iii) the Event; (iv) the Artist; or (v) other artists generally, or fails to commit any act where the failure to do so is reasonably likely to have a similar effect.

7 Limitation of Liability

7.1 The Event Holder expressly agrees that the Event Holder is fully responsible for: (i) the hosting of the Event; and (ii) all health and safety aspects relating to (a) the hosting of the Event; or (b) the welfare of the Artist and the Customers whilst present at the Venue, and nothing in these Conditions or the course of dealings between Tigmus and the Event Holder shall operate to vary this position.

7.2 Tigmus shall not be liable to the Event Holder for any loss of profit, revenue, goodwill, reputation, opportunity or any indirect or consequential loss which in each case arises out of or in connection with: (i) these Conditions; or (ii) any breach or non-performance of these Conditions, in each case no matter how fundamental (including by reason of Tigmus’ negligence).

7.3 Tigmus’ total liability arising under or in connection with these Conditions in contract, tort, or otherwise shall be limited to the amount of the Fee.

7.4 For the avoidance of doubt and notwithstanding any provision to the contrary, nothing in these Conditions shall exclude or restrict Tigmus’ liability for any fraud, any death or personal injury resulting from Tigmus’ negligence or any other mandatory liability which may not be excluded or limited under applicable law.

7.5 The Event Holder shall indemnify Tigmus, for any claim, loss, expense or damage arising directly or indirectly out of or in connection with the following:

7.5.1 any circumstance in relation to the Event Holder’s hosting of the Event, including a failure to comply with the provisions of these Conditions in doing so;

7.5.2 any delay, re-scheduling or cancellation of the Event due to an act or omission of the Event Holder; and

7.5.3 any other circumstances caused by the Event Holder over which Tigmus had no control of the consequences.

7.6 The Event Holder acknowledges that the limitations above reflect Tigmus’ role as provider of the Website and the related services contemplated by these Conditions. All questions and concerns that the Event Holder may have in relation to the performance of the Event should be addressed directly to the Artist.

8 Personal data

In submitting a Venue Description to the Website, each Venue Holder expressly consents to Tigmus’ use of any data that such Venue Holder submits to Tigmus from time to time (whether via the Website or otherwise) in connection with Tigmus’ legitimate business interests from time to time. Such use may include, without limit, use of Venue Holder data to contact Venue Holders in respect of future Events that Tigmus reasonably considers may be of interest to a Venue Holder, or where Tigmus passes Venue Holder data to a third party. For completeness, this consent is replicated as an opt-in tick box on the Website which each Venue Holder is required to complete if it wishes to submit a Venue Description to the Website or host an Event.

9 General

9.1 Tigmus shall be entitled to vary these Conditions from time to time on reasonable notice to the Event Holder.

9.2 No term of these Conditions may be enforced by any third party, whether by reason of the Contracts (Rights of Third Parties) Act 1999, or otherwise.

10 Law

10.1 These Conditions and any contract to which these Conditions apply, are governed by and shall be construed exclusively in accordance with the laws of England.  Non-contractual obligations (if any) arising out of or in connection with these Conditions and any contract to which these Conditions apply (including its/their formation) shall also be governed by the laws of England.

TERMS AND CONDITIONS OF SALE AND SUPPLY

In these terms and conditions (“Conditions”) the following words and expressions shall have the following meanings:

Artist: a musician or artist who has pledged to perform at a certain venue at a certain date;

Customer: an individual who purchases a Ticket or Tickets through the Website;

Event: an event at which the Artist performs and has opted to use the Website to elicit sales of the Tickets;

Event Date: the proposed date of each Event, as set out on the Website;

Event Holder: means, in respect of each Event, the individual or entity that has declared themselves willing to host the Event and who is designated as such on the Website;

Tickets: the tickets for an Event supplied by Tigmus to the Customer;

Tigmus: Tigmus Ltd (registered number: 08924732) whose registered office is at 1st Floor, 2 Woodberry Grove, Finchley, London, N12 0DR;

Venue: the venue for each Event; and Website: www.tigmus.com, or such other website as Tigmus shall designate from time to time.

1 Event

1.1 Tigmus operates a platform, via the Website, through which Customers can buy Tickets.

1.2 Where a Customer wishes to attend an Event, the Customer shall submit an order for Tickets to the Event by following the instructions on the Website in relation to such Event. The Customer shall pay to Tigmus the total price of the Tickets at the point of order, using the third party payment service set out on the Website.

1.3 Where reasonably necessary Tigmus reserves the right to make alterations to the Event programme.

2 Contractual relationship, acceptance of orders and Tickets

2.1 These Conditions shall apply to each and every order of Tickets by a Customer, and in each case the order of Tickets by the Customer shall be deemed to create a separate contractual relationship between Tigmus and the Customer, governed by these Conditions.

2.2 The supply of Tickets by Tigmus is in accordance with each Customer’s consumer rights. If a Customer has a concern that Tigmus has not met its legal obligations then Customers should contact Tigmus via the Website.

2.3 The acceptance of orders for the Tickets shall be at the entire discretion of Tigmus. Acceptance of the Customer’s order shall become binding on Tigmus only when the Customer’s payment referred to in clause 1.2 above has been received by Tigmus in full.

2.4 All Tickets are issued electronically for use by the Customer and any natural persons for whom a Ticket is purchased, and the Customer shall not be entitled to resell the Tickets to any other person without the prior consent of Tigmus. Proof of purchase of a valid Ticket may be required to enter any Event and Tigmus recommends that Customers print a copy of their Tickets for such purposes.

2.5 Without prejudice to the general wording above, no Ticket may: (i) be used for any promotional or commercial purpose whatsoever; (ii) be transferred, lent or sold to any third party for use as part of a hospitality or travel package; or (iii) be given to any third party who agrees to buy a good or service in return.

2.6 Tigmus will not be responsible for any Ticket that is lost, stolen or destroyed. It is not always possible to issue duplicate Tickets, for example but not limited to non-seated Events where there is a possibility of both the original and duplicate tickets being used, compromising the licensed capacity of the Venue. Duplicate Tickets may therefore be issued at the discretion of Tigmus acting reasonably.

2.7 Tigmus reserves the right to provide alternative seats at an Event to those specified on the Ticket should the staging of the Event so reasonably require, provided they are of no less value to that stated on the Ticket.

2.8 Where a concession is claimed, proof of identity and concession entitlement (for example of age or student status) may be required.

2.9 Ownership or possession of a Ticket does not confer any rights (by implication or otherwise) on a Customer to use, alter, copy or otherwise deal with any of the symbols, trade marks, logos and/or intellectual property appearing on the Ticket.

3 Venue

3.1 The Event Holder may stipulate additional terms and conditions that apply to a Customer’s use of a Venue and attendance at an Event, and it is a condition of these terms and conditions that Customers comply with any such Event Holder terms and conditions. Such terms and conditions will be available on the Website. For example: (i) an Event Holder may reserve the right to refuse Customers admission to the Venue in reasonable circumstances including for health and safety, licensing reasons or where a Ticket is void; (ii) the Event Holder may also reserve the right to request that Customers leave the Venue at any point on reasonable grounds and may take any appropriate action to enforce this right; or (iii) the Event Holder may stipulate certain restrictions in connection with the unauthorised recording of an Event.

3.2 No refunds will be given to Customers who are refused entry or ejected from an Event due to their own behaviour.

4 Prices

The Ticket price quoted by Tigmus on its Website is inclusive of VAT and any other applicable taxes. No delivery or other costs will be payable by the Customer in addition to the Ticket price.

5 Status of Refunds

5.1 Once it has submitted payment for the Tickets in full, the Customer shall not benefit from any right to cancel its order for the Tickets, and subject to clauses 5.2, 5.3 and 9, no refunds shall be paid by Tigmus to any Customer at any time in respect of sums paid by the Customer for Tickets.

5.2 The Customer acknowledges that Tigmus is not responsible for the performance or staging of the Event and that actual performance of the Event will be undertaken by the Artist and the hosting of the Event at the Venue shall be carried out by the Event Holder, in each case without input from Tigmus. Accordingly, it may be possible that the Artist or the Event Holder withdraws from the Event due to events beyond Tigmus’ reasonable control, and in such instances the Customer’s only recourse against Tigmus shall be its entitlement to a full refund of all sums paid by the Customer to Tigmus in respect of the Tickets for such Event.

5.3 Tigmus reserves the right to cancel an Event at any time due to circumstances beyond its control. Where this is the case, Tigmus shall use its reasonable endeavours to set an alternative date or venue for the Event and where: (i) such alternative date or venue is not acceptable to the Customer; or (ii) the Customer no longer wises to attend the Event, Tigmus shall refund in full all amounts paid by the Customer under clause 1.2.

6 Delivery

Tickets for each Event shall be delivered electronically to the Customer’s email address registered with the Website.

7 Limitation of Liability

7.1 Tigmus shall not be responsible for any loss, expense, costs or inconvenience arising directly or indirectly to the Customer, out of or in connection with the following:

7.2 any circumstance in relation to the performance or hosting of the Event and/or the Customer’s attendance at the Event, including (without limit) loss, theft or damage of the Customer’s personal belongings;

7.3 any delay in performance, re-scheduling or cancellation of the Event;

7.4 any act or omission of the Customer, Artist or the Event Holder; or

7.5 any other circumstances over which Tigmus had no control of the consequences.

7.6 Tigmus shall use its reasonable endeavours to respond to reasonable Customer queries in relation to Events, however the Customer is directed to contact the Event Holder with all specific queries in relation to the Venue. Contact details for each Event Holder can be found on the Website.

7.7 For the avoidance of doubt and notwithstanding any provision to the contrary, nothing in these Conditions shall exclude or restrict Tigmus’ liability for any fraud, any death or personal injury resulting from Tigmus’ negligence or any other mandatory liability which may not be excluded or limited under applicable law.

8 Personal data

In purchasing the Tickets, each Customer expressly consents to Tigmus’ use of any data that such Customer submits to Tigmus from time to time (whether via the Website or otherwise) in connection with Tigmus’ legitimate business interests from time to time. Such use may include, without limit, use of Customer data to contact Customers in respect of future Events that Tigmus reasonably considers may be of interest to a Customer, or where Tigmus passes Customer data to a third party. For completeness, this consent is replicated as an opt-in tick box on the Website which each Customer is required to complete if it wishes to purchase Tickets.

9 General

9.1 Tigmus shall be entitled to vary these Conditions from time to time on reasonable notice to the Customer, posted via the Tigmus Website. Where such variation has operated to a Customer’s detriment, such Customer shall be entitled, within 10 days of Tigmus’ notice of such change, to request in writing a full refund of all sums paid to Tigmus in respect of Events that are yet to take place. Such refund shall be paid by Tigmus in full within 30 days of request to such bank account as such Customer shall designate.

9.2 No term of these Conditions may be enforced by any third party, whether by reason of the Contracts (Rights of Third Parties) Act 1999, or otherwise.

10 Law

10.1 These Conditions and any contract to which these Conditions apply, are governed by and shall be construed exclusively in accordance with the laws of England.  Non-contractual obligations (if any) arising out of or in connection with these Conditions and any contract to which these Conditions apply (including its/their formation) shall also be governed by the laws of England.

10.2 Tigmus and the Customer submit to the exclusive jurisdiction of the courts of England and Wales as regards any claim, dispute or matter (whether contractual or non-contractual) arising out of or in connection with these Conditions and any contract to which these Conditions apply (including its formation).

NOTHING IN THESE CONDITIONS SHALL AFFECT THE STATUTORY RIGHTS OF THE CUSTOMER.
